PART-I
1. Short title and commencement :-
(i) This Constitution may he called "The Amended Constitution
of Association of Physicians of India, 1986 (Orissa State Branch).
(ii) Commencement - This Constitution will commence from such
date as the General Body of the Orissa State Branch decides after
its adoption.
2. Definitions :-
(i) "Association" means Association of Physicians of
India in other words A. P. I. (Orissa State Branch)
(ii) "Office" means office of the Association located
at Cuttack.
(iii) "Sub-Branch" shall mean and include different
units of the Association either opened or recognized by the Association.
(iv) "Year" means a calendar year
3. Scope of the Constitution:-
This Association being an affiliated body of the Association of
Physicians of India the provisions of this Constitution will be
subjected to the Constitution of the said affiliating body as
modified from time to time.
PART-II
4. Aims and objects :-
In addition to aims and objects of the Association of Physicians
of India this branch will have the further aims and objects :
(i) To further the knowledge of medicine among its members through
research, group discussions, presentation of scientific papers
etc.
(ii) To arrange meetings, symposium, conferences etc. for exchange
of ideas among its members and Scientists from outside.
(iii) To mobilize and encourage talents for research on local
problems through resources available locally or otherwise.
(iv) To initiate and organize research and specialization discipline
not available in the State.
(v) To encourage, organize and undertake research center in the
State. (vi) To diffuse results of recent researches in the field
of medicine and allied subjects through the existing media and
through papers and journals to be sponsored by it.
PART-III
5. Membership :-
5. (1) Any Physician who is a member or is eligible to become
a member of the Association of Physicians of India, and who is
a resident of Orissa and/or whose professional activities are
mostly confined within the State of Orissa for the time being.
5. (2) Any other resident of Orissa whom the Governing body considers
helpful in their activities for achieving the aims and objects
would be taken as a patron on donation of Rs. 10,0001- or more.
5. (3) Membership fees :- There will be an one class members viz.
Life members and the fee for such membership is Rs. 100.00 (Rupees
one hundred only) subject to charges made by the General Body
from time to time.
6. Management :-
The control and management of the Association will vest in the
General Body and the Governing body as hereunder.
6. (1). General Body :- General body shall consist of all the
members of the Orissa Branch. A meeting of the General Body shall
be held at least once in a year preferably during November at
places to be fixed by the governing body. One third members will
form the quorum. One such meeting shall be the annual general
body meeting in which the business regarding election & accounts
and budget will be transacted. The President, in his absence the
Vice-President shall convene the meeting of the General body with
30 days notice. The President and in his absence the Vice-President
in the absence of both any other member chosen by the members
shall preside over the meeting.
6. (1) (1). The General Body will consider :
(i) The/annual report of the Honorary or the Joint Honorary secretary.
(ii) pass the accounts for the past year.
(iii) approve the Budget Proposal for the coming year
(iv) elect the Governing body except the immediate past President
through ballot. (v) to enroll non-members of the A. P. 1. by resolution
as members.
(vi) and discuss subjects of interest to Physicians in general
and lay down guidelines for future action. The General Body will
be the supreme authority of the branch. One-third of the members
of the Branch may by requisition convene an emergent meeting of
the general body with 15 days notice by the President or the Governing
body.
6. (2) (1) GOVERNING BODY

zones or Orissa.
6. (2) (2) The term of the Governing Body shall be for one year
or until the next Governing Body is elected. Five members will
form the quorum of the Governing body meeting. The Governing Body
should meet at least three times a year. The Secretary or the
Joint Secretary shall convene a meeting of the Governing Body
in consultation with the President with at least one week notice.
6. (2) (3) The Governing Body will be responsible for the smooth
management of the branch and function as the Executive of the
branch subject to the overall control of the General Body.
6. (2) (4) It may frame regulation for management of the affairs
of the Association. It may with the approval of the General Body
acquire by purchase, lease, gift properties both movable and immovable
for carrying out its aims and objects and may construct, set up
buildings, plants, laboratories, libraries and employ persons
on remunerations.
6. (3) (1) President:
He shall be the custodian of the Branch and shall ordinarily preside
over all meetings of the General body and Governing Body. The
President may distribute work among the office-bearers for smooth
running of the business of the Branch. He can temporarily suspend
an office-bearer on the recommendation of the Governing Body till
such action is finally taken up by the General Body.
(3) (2) Vice-President :
He shall exercise all the powers during the absence Of the president.
(3) (3)Honorary secretary :
He shall remain in charge of all papers, files and documents of
the Branch record proceedings Of all meetings prepare and present
annual reports and other reports receive letter and make correspondences
and issue notices to members in consultation with the President.
(3) (4) He shall manage all the duties Of Secretary during Secretary's
absence in consultation with the President.
(3) (5) Treasurer :
He shall be custodian of the funds of the Branch. He will open
a Bank Account. He shall issue funds on the advice of the Honorary
Secretary and maintain the accounts. He shall be from headquarters.
The Bank account will be jointly operated by the Secretary, Treasurer
and the Governing Body members for Central Zone. Any two signatures
will operate the account.
PART-IV
7. (1) (1) Funds :-
The funds of the branch will consist of :
(i) The membership fees realized from the members.
(ii) Donation from the members.
(iii) Grants or donations from other persons, organizations
authority or
institutions.
(iv) Trust fund in respect of which the Association of Physicians
of India (Orissa Branch) is made a trustee.
7. (1) (2) The funds of the branch shall be deposited in a
Nationalized
Bank decided upon by the Governing Body.
7. (2) (1)The accounts of branch will be audited by a Chartered
Accountant every year before the General Body meeting and the
Audit report shall be placed before the General Body meeting.
7. (2) (2) All expenditure should be authorized by the Governing
Body before actual utilization and no expenditure which is not
connected with or conducive to the aims and objects of the Association
shall be authorized.
PART-V
8. (1) (1) Disputes :-
All disputes in connection with this branch shall be placed first
before the Governing body where from appeal may be preferred to
the General Body in its meeting and the decision of the General
Body will he final.
8. (1) (2) A dispute regarding election of any office-bearer of
the Governing Body shall be decided by the President and the immediate
past President whose decision shall be final.
PART-VI
9. Amendment :-
This Constitution may be amended by the General Body with 2/3rd
majority of the members present and voting. For moving a resolution
for such amendment a notice of the amendment shall be given to
the members at least one week before the date of General Body
meeting.
10. Dissolution :-
The General Body meeting may by the resolution passed by 3/4th
of its enrolled members dissolve the Association. In case of such
dissolution the funds and assets to the credit of the Association
at the time shall be transferred to such allied organization as
the General Body may decide.
